Acceptable Use and Data Mining

You may use the Site only for lawful purposes and in accordance with these Terms of Use, and you shall not use the Site: (1) in any way that violates any applicable law; (2) with the purpose or effect of exploiting, harming, or attempting to exploit or harm any person; or (3)  to impersonate or attempt to impersonate any person.

You are prohibited from violating, or attempting to violate, the security of the Site including, without limitation: (1) logging into or attempting to log into a server or account that you are not authorized to access; (2) accessing data or taking any action to obtain services not intended for your use; (3) attempting to probe, scan or test the vulnerability of ALTA’s network; (4) tampering, hacking, modifying or otherwise corrupting or breaching security or authentication measures without proper authorization; (5) transmitting material or taking any action to propagate any viruses, Trojan horses, worms, time bombs, cancelbots or other computer-impairing routines, engines or elements that could damage, disable, destroy, disrupt or otherwise impair or impede in any manner the operation or functionality of the Site or of ALTA’s or any user’s processing environment (collectively “Harmful Elements”); (6) interfering with functioning of the Site, including, without limitation, by means of overloading, flooding or crashing any computer system; and (7) uploading files that contain software or any other materials in breach of any intellectual property right or in breach of confidentiality restrictions.

ALTA monitors the usage of the Site. Any violations of the security of the Site by you may subject you to criminal or civil liability.

YOU HEREBY RELEASE AND FOREVER DISCHARGE ALTA AND ITS AFFILAITES AND EACH OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS, AGENTS AND CONTRACTORS FROM ANY AND ALL CLAIMS, DEMANDS AND DAMAGES OF EVERY KIND AND EVERY NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, THE SITE AND/OR THE ACTIVITIES CONTEMPLATED FOR ITS USE.

Indemnity

You agree to indemnify, defend and hold ALTA, its affiliates and each of their officers, directors, employees, licensors, agents, vendors, and contractors from and against any claim, demand, cause of action, debt, loss or liability, including, without limitation, reasonable attorney’s fees, to the extent that such action is based upon or arises out of your violation of these Terms of Use.

Applicable Law and Jurisdiction; Waiver; Severance; Assignment; Relationship of Parties; Entire Agreement

Unless otherwise specified, the Site is intended to provide information about ALTA and its affiliates and their products and services. This Site is controlled and operated from the United Kingdom; provided, however, some locations on the Site may be hosted by ALTA, its affiliates or third parties from other locations. ALTA does not imply or represent or warrant that the Site or the Site Content is designed or appropriate for use in any particular jurisdiction. Your access and use the Site may be subject to applicable local laws in your jurisdiction, which you are responsible for compliance with. To the extent any applicable local laws prohibit your access to and use of the Site or the Site Content, you may not view or use the Site or the Site Content.

Your use of the Site is governed in all respects by the laws of the England and Wales, without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. ALTA’s failure to insist upon or enforce strict performance of any provision of these Terms of Use will not be construed as a waiver of any provision or right. If any provision of these Terms of Use is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced.

ALTA may assign, novate or transfer, in whole or in part, its rights, obligations and duties under these Terms of Use to any party at any time without notice to you (and you hereby consent to any such future novation or transfer of ALTA’s obligations and duties). You may not assign, novate or transfer, in whole or in part, and you shall not permit the assignment, novation or transfer by operation of law of, any of your rights, obligations or duties under these Terms of Use without the prior written consent of ALTA, and any such attempted assignment, novation or transfer will be void. Subject to the foregoing, these Terms of Use will be binding upon ALTA and your respective successors and permitted assigns.

These Terms of Use will not be interpreted or construed to create an association, agency, joint venture or partnership between you and ALTA or to impose any liability attributable to such a relationship upon either party. Neither you nor ALTA will have any right, power or authority to enter into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other party. Unless otherwise expressly stated in these Terms of Use, these Terms of Use constitute the entire agreement between you and ALTA with respect to the Site. No parol evidence, course of dealing, conduct, performance or usage of the trade will be relevant to supplement, modify, amend or explain these Terms of Use.

Export Controls

You may not export or re-export any Site Content received from the Site except in full compliance with all applicable laws and regulations, including, without limitation, the USA Export Administration Laws and Regulations. Use contrary to those laws is prohibited. Access to or use of the Site from countries sanctioned by the UK, European Union and/or USA is strictly prohibited.
